1.4. Consumer — a User who is a private individual and uses the Platform for personal, family, household or other needs unrelated to business. Consumer protection law applies to the relationship with a Consumer.

1.5. Platform (Conobix) — the software and online service for making videos with artificial intelligence technologies.

1.6. Site — the web resource at https://conobix.com

1.7. Account area — the part of the Site available after registration, where the User manages the account, the subscription and payments.

1.8. Plan — a set of conditions of access to the Platform (price, period, limits, features).

1.9. Subscription — access to the Platform for a Subscription Period under the chosen Plan.

1.10. Subscription Period — the period for which access under the chosen Plan has been paid.

1.11. Auto-renewal — the automatic charge of the fee for the next Subscription Period to the User's bank card, saved with the User's consent.

1.12. User Content — texts, images, video, audio and other materials the User enters into or uploads to the Platform.

1.13. Output — video materials and other objects the Platform creates on the User's request.

1.14. Rules — the Acceptable Use Rules of the Platform (Appendix 1).

2. General provisions and acceptance of the Offer

2.1. The Offer is a public offer of the Provider and contains all the essential terms of the agreement on the provision of access to the Platform (the Agreement).

2.2. The Agreement is concluded by adhering to the Offer as a whole. The Offer is accepted by the following actions of the User taken together: registering in the Account area, ticking the box of agreement with the Offer and the Rules, and paying for the chosen Plan.

2.3. The Agreement is deemed concluded from the moment the chosen Plan is paid for, that is, when the Provider receives the payment confirmation from the payment organisation.

2.4. The Agreement is concluded in electronic form. Appendices 1 and 2 are an integral part of the Offer. Before paying, the User must read the Offer, the Rules and the subscription terms (Appendix 2).

2.5. The Offer applies in the version published on the Site on the date of acceptance. The procedure for changing the Offer is set out in section 12.

3. Subject of the Agreement

3.1. The Provider undertakes to give the User access to the Platform for the Subscription Period within the limits of the chosen Plan, and the User undertakes to pay for the access and to comply with the Rules.

3.2. Through the Platform the User may create videos with artificial intelligence technologies from text requests, images and other materials, store Outputs and download them. The list of features, the limits and the scope of services under each Plan are stated on the Site.

3.3. The Platform is provided as an online service. The software and its source code are not transferred to the User. The User may use the functionality of the Platform only through its interface, for the Subscription Period and within the limits of the Plan (a simple non-exclusive licence to the extent of the service provided). The rights to the Platform remain with their holders.

3.4. The Provider gives access to the Platform on the basis of the rights it holds.

3.5. The Agreement contains elements of a service agreement and of a licence agreement. The rules of applicable law on the provision of services apply to the relationship of the parties, with the specifics of the Agreement taken into account.

3.6. The Provider may engage third parties (providers of artificial intelligence models, hosting, payment and other services) to provide the services, and is liable to the User for their actions as for its own.

3.7. Features marked “beta” or “experimental” are provided without guarantees of stability and may be changed or switched off.

4. Registration and account

4.1. To use the Platform, the User registers in the Account area and gives a valid email address.

4.2. The User confirms that they are 18 years of age or older. If the User is a legal entity or a sole proprietor, it confirms the authority of the person acting on its behalf.

4.3. The User is responsible for keeping the login and password safe and for all actions taken from their account. The User reports unauthorised access to the Provider immediately at info@conobix.com.

4.4. An account is meant for one User. Handing access to third parties and reselling access are prohibited unless the Plan provides otherwise.

4.5. The User may delete the account at any time in the Account area or by a request to info@conobix.com. Deletion does not cancel obligations that arose before it and does not entail a refund, except in the cases provided for in section 10.

4.6. The Provider sends notices to the email address given at registration and to the Account area. The User must keep the address up to date.

5. Plans, payment and receipts

5.1. The prices and conditions of the Plans are stated on the official site https://conobix.com. Prices are set in US dollars.

5.2. Payment is made by bank card or by another payment method offered at checkout, through a payment service. Card details are entered on the payment organisation's secure page; the Provider neither receives nor stores full card details.

5.3. Payment is deemed made from the moment the Provider receives the confirmation from the payment organisation. Access under the Plan opens within [15 minutes] of the payment confirmation.

5.4. The Provider issues an electronic receipt for every payment, including Auto-renewal payments, and sends it to the email address given by the User. The User must give correct contact details.

5.5. Fees of the bank and payment systems on the User's side (for example, for currency conversion or a transfer) are paid by the User.

5.6. The Provider may change the prices and the composition of the Plans for future Subscription Periods. The Provider notifies the User of a price change on a current Subscription at least [14] days before the first charge at the new price (Appendix 2). A Subscription Period already paid for is not revised.

6. Subscription and auto-renewal

6.1. Access is given for the paid Subscription Period. When the Subscription Period ends, access stops unless the Subscription is renewed.

6.2. Auto-renewal is switched on only with the User's consent, expressed by a separate action on the payment page (a box that is not ticked by default). The consent is given to the charge of the amount and at the frequency stated on the payment page before the payment is confirmed.

6.3. The User may at any time opt out of Auto-renewal and unlink the bank card in the Account area without giving reasons. After the opt-out the Provider does not charge money and does not use the previously saved payment details for recurring charges; access remains until the end of the paid Subscription Period.

6.4. The Provider warns the User in advance of a forthcoming charge and sends a confirmation after it, in the manner set out in Appendix 2.

6.5. The detailed subscription terms, including the procedure for charges, notices, cancellation and what happens when a charge fails, are set out in Appendix 2 and are an integral part of the Offer.

7. Rights and obligations of the parties

7.1. The Provider shall:

  • give access to the Platform after the Plan is paid for and keep it running within the conditions of the Plan;
  • answer requests to the support service at info@conobix.com within [2] business days;
  • issue receipts and notify the User of payments in the manner set out in the Offer;
  • process personal data in accordance with the law and the Privacy Policy.

7.2. The Provider may:

  • carry out maintenance with possible restriction of access for no more than [10] hours a month, notifying Users in advance where possible;
  • change the functionality and interface of the Platform without worsening the paid conditions of the Plan for the current Subscription Period;
  • delete User Content and Outputs that breach the Rules or the law, and suspend access in the manner set out in Appendix 1;
  • restrict access at the request of authorised state bodies or rights holders in the cases provided for by law;
  • keep Outputs and User Content for [30] days after the end of the Subscription Period, then delete them with no possibility of recovery.

7.3. The User shall:

  • pay for the chosen Plan on time;
  • comply with the Rules and applicable law;
  • not infringe the rights of third parties when creating and using User Content and Outputs;
  • not hand access to the account to third parties;
  • comply on their own with legal requirements when publishing Outputs, including advertising rules and the duty to disclose that materials were made with artificial intelligence, where these apply.

7.4. The User may use the Platform within the limits of the Plan, receive support, opt out of Auto-renewal and withdraw from the Agreement in the manner provided for in the Offer and in section 10.

8. User Content and rights to Outputs

8.1. The User warrants that they are entitled to use the User Content, including that they have obtained the consent of rights holders and of the persons whose image, voice or personal data the materials contain.

8.2. The User grants the Provider a free non-exclusive right to use the User Content to the extent needed to provide the services: to store and process it, to pass it to providers of artificial intelligence models and infrastructure, and to reproduce it to create Outputs. The right lasts until the User Content and the Outputs are deleted or until the end of the storage period under clause 7.2.

8.3. The Provider may use the User's content and the Outputs to train its own artificial intelligence models.

8.4. The Provider claims no rights to the Outputs. To the extent allowed by law and by the terms of third-party models, the User may use the Outputs, including for commercial purposes, provided the Plan is paid for and the Rules are complied with.

8.5. The Provider does not warrant that an Output will be protected by copyright, will be unique or will not coincide with the Outputs of other users. The legal status of objects created with artificial intelligence is determined by law and may differ from that of works created by a human; the User assesses the legal risks of using the Outputs on their own.

8.6. The Provider considers substantiated complaints of third parties about User Content and Outputs sent to info@conobix.com within [10] business days.

9. Personal data

9.1. The Provider processes the User's personal data in accordance with applicable data protection law and the Privacy Policy. At registration the User gives, by a separate tick, consent to the processing of data for the purpose of performing the Agreement.

9.2. To provide the services, the Provider may pass data to providers of artificial intelligence models, hosting and payment services to the extent needed to perform the Agreement.

9.3. If the User Content contains the image, voice or other personal data of third parties, the User warrants that their consent or another lawful basis exists and confirms it at the Provider's request. In respect of such data the Provider acts on the User's instructions and only for the purpose of providing the services.

9.4. The Provider takes legal, organisational and technical measures to protect personal data.

9.5. Requests of data subjects are sent to info@conobix.com.

10. Refunds

10.1. A User who is a Consumer may withdraw from the Agreement at any time, provided the Provider is paid the expenses it has actually incurred.

10.2. Unused limits are retained by the Consumer and do not expire, but they can be used only with an active subscription. When the subscription is resumed, the unused limits are added to the new ones.

10.3. Erroneous and duplicate charges, including charges made after an opt-out from Auto-renewal, are refunded in full.

10.4. The detailed terms, the current Plans, their prices, and the description of limits and available features are published on the official site https://conobix.com.

11. Liability

11.1. The Platform is provided “as is”. Outputs are created by artificial intelligence models and may contain inaccuracies or artefacts, or fail to meet the User's expectations. The Provider does not guarantee a particular generation result.

11.2. The Provider is not liable for interruptions caused by failures of networks, equipment and third-party services, or by the User's actions, but takes reasonable measures to remedy them.

11.3. The User is responsible for the User Content and for the use of the Outputs, including their publication, and compensates the Provider for losses caused by third-party claims arising from the User's breach of the Rules or the law.

11.4. The Provider's liability to a User who is not a Consumer is limited to actual damage and does not exceed the amount paid for the last [3] months of the Subscription. The Provider is not liable to such Users for lost profit.

11.5. The limitations of liability in this section apply to the extent allowed by law. They do not limit the rights of a Consumer and do not exclude liability for intent.

11.6. The parties are released from liability for non-performance caused by force majeure, provided they notified the other party within a reasonable time.

12. Term and changes to the Offer

12.1. The Offer applies from the date of its publication on the Site until it is withdrawn by the Provider. The Agreement lasts until the end of the Subscription Period and, with Auto-renewal, until the opt-out from it or the termination of the Agreement.

12.2. The Provider may change the Offer by publishing a new version on the Site. Changes take effect [10] days after publication; the Provider additionally notifies Users of material changes by email.

12.3. Changes do not apply to a Subscription Period already paid for. If the User does not agree with the new version, they may, before the changes take effect, opt out of Auto-renewal and withdraw from the Agreement in the manner set out in section 10.

12.4. The Provider may terminate the Agreement and block access in the event of a material breach of the Rules. A refund in that case is made in the manner set out in section 10, taking into account the Provider's actual expenses and the rights of a Consumer.

13. Claims and dispute resolution

13.1. Disputes are resolved by negotiation. A claim is sent in writing to [the email for claims] or to the Provider's postal address. The response time is 10 calendar days for a Consumer's claim and 30 calendar days for the claim of any other User, from the day of receipt.

13.2. The law of the Provider's place of registration applies to the relationship of the parties, unless mandatory consumer protection rules of the country where the Consumer lives provide otherwise.

13.3. Disputes with a Consumer are heard by the court competent under the consumer protection law that applies, including at the Consumer's place of residence or stay or at the place where the Agreement was concluded or performed.

13.4. Disputes with Users who are not Consumers and have not been resolved through the claims procedure are heard by the court at the Provider's location.

Appendix 1. Acceptable Use Rules of the Platform

The Rules apply to requests, User Content and Outputs. A breach of the Rules is grounds for the measures listed below.

It is prohibited to create, upload or distribute through the Platform:

  • materials with the image, voice or other recognisable features of a real person without their consent, including realistic “deepfakes” that mislead or defame a person;
  • materials that pose as official communications, officials, media outlets or organisations, or imitate them for the purpose of deception, phishing or fraud;
  • sexual content involving or depicting minors (an absolute prohibition), as well as pornographic materials [and explicit content — choose the service's policy];
  • materials calling for violence, terrorism or extremism, promoting drugs or self-harm, and other materials prohibited by law;
  • materials infringing copyright and related rights, trademarks or the characters of third parties;
  • defamation, insults, harassment and discrimination on grounds of sex, race, ethnicity, religion or other grounds;
  • personal data of third parties without a lawful basis;
  • knowingly false information capable of causing harm (including about health, safety or elections).

When using the service it is prohibited to:

  • circumvent technical restrictions, limits and security systems, including by using several accounts;
  • collect data automatically or use automated access outside the API provided for by the Plan;
  • decompile the Platform or attempt to obtain its source code or model parameters;
  • resell or hand access to third parties;
  • disrupt the Platform: create excessive load, distribute malicious code, or attempt unauthorised access.

Measures in case of a breach

The Provider may warn the User, delete materials, restrict features, suspend or terminate access, and pass information to the authorised bodies at their request. In the event of gross breaches, including the creation of materials involving minors and threats, access is blocked without warning. Refunds are made in the manner set out in section 10 of the Offer.

Complaints

Persons whose rights are affected by materials on the Platform send a complaint to info@conobix.com stating the complainant, a description of or link to the material, the right infringed and the supporting documents. The Provider considers the complaint within [10] business days and takes the measures provided for in these Rules.

Appendix 2. Subscription and Auto-renewal Terms

These terms are shown to the User before payment and apply together with the Offer.

  1. What you pay for. A subscription gives access to the Platform for the Subscription Period under the chosen Plan. The price, period and limits are shown on the site https://conobix.com.
  2. Amount and date of charges. With Auto-renewal on, the Provider charges the price of the Plan to the saved card on the last day of the paid Subscription Period and extends access for the same Period. The amount, the period and the date of the next charge are stated on the payment page and in the Account area.
  3. Consent to Auto-renewal. Auto-renewal is switched on by a separate tick on the payment page, which is not set by default. Without it no recurring charges are made, and access stops at the end of the Subscription Period.
  4. Trial and promotional period. The conditions of a trial or promotional period and the price after it are stated on the payment page before the payment is confirmed. When such a period ends, the full price of the Plan is charged unless the User opted out of Auto-renewal before it ended.
  5. How to cancel. The User may at any time opt out of Auto-renewal in the Account area (section [“Subscription” → “Cancel auto-renewal”]) and unlink the card (section [“Payments” → “Remove card”]) without giving reasons. An opt-out is also accepted by email to [the support email]; the Provider processes it within [1] business day.
  6. What happens after cancellation. Charges stop, and the previously saved payment details are not used for recurring charges. Access remains until the end of the Subscription Period already paid for. Outputs are kept for the period stated in clause 7.2 of the Offer.
  7. Failed charge. If a charge fails (insufficient funds, the card is blocked or has expired), the Provider [retries up to 3 times within 3 days] and notifies the User. If the payment is not received, access is suspended and Auto-renewal is switched off.
  8. Price change. The Provider notifies of a price change by email at least [14] days before the first charge at the new price. Before that charge the User may opt out of Auto-renewal.
  9. Changing the Plan. On an upgrade to a more expensive Plan, access opens at once, the payment is recalculated and a new Subscription Period starts from the date of payment. On a downgrade to a cheaper Plan, the new price applies from the next Subscription Period.
  10. Refunds. Refunds are made in the manner set out in section 10 of the Offer. Erroneous charges are refunded in full.
  11. Support. Questions about the subscription and payments go to info@conobix.com; the response time is [2] business days.
